1. Agreement to Terms & Platform Operator

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “Licensee”, or “You”) and Noventra Media (“NoventraStock”, “we”, “us”, or “our”), governing your access to and use of noventrastock.com (the “Platform”) and all stock video footage, metadata, and digital assets downloaded through the Platform.

By registering an account, purchasing credit packages, downloading free previews, or completing a checkout on NoventraStock, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Grant of License & Permitted Commercial Usage

When you download stock footage (whether via individual purchase, credit package, or free tier download), NoventraStock grants you a non-exclusive, perpetual, worldwide, non-transferable, and non-sublicensable license to synchronize, edit, and incorporate the footage into your derivative audiovisual works (“Projects”):

• Digital Content & Social Media: Monetized YouTube videos, TikTok, Instagram Reels, YouTube Shorts, Vimeo, podcasts, and personal vlogs.
• Commercial Advertising: Digital paid ad campaigns (Meta Ads, Google/YouTube Ads, TikTok Ads), company promotional reels, landing pages, and marketing campaigns.
• Client & Agency Deliverables: Freelance video editors and production companies may license footage and incorporate it into completed videos delivered to paying clients.
• Corporate & Internal Media: Training videos, investor presentations, event video walls, and internal corporate materials.

For broadcast television, feature films, OTT streaming platforms (e.g., Netflix, Amazon Prime), and national theatrical distribution, an Extended License or Enterprise License is required as outlined on our Licensing Details page.

3. Monetization & Copyright Strike Protection Guarantee

We understand that YouTube Content ID claims and algorithmic copyright flags are a major concern for content creators. NoventraStock warrants that all footage offered in our commercial catalog is legally cleared for commercial audiovisual synchronization.

In the rare event that an automated third-party platform algorithm mistakenly places a copyright claim on a video containing legally licensed NoventraStock footage:

4. Prohibited Uses (Restrictions)

To protect our creator ecosystem and footage contributors, the following activities are strictly prohibited:

• No Standalone Redistribution: You may not resell, sub-license, donate, distribute, or share the raw, unedited footage file as a standalone stock asset, video file, or template on any marketplace, peer-to-peer network, or torrent site.
• No Trademark or Logo Usage: You may not incorporate footage or any recognizable element into a trademark, service mark, or corporate logo.
• No Defamatory or Unlawful Content: Footage must not be used in connection with defamatory, pornographic, fraudulent, discriminatory, or unlawful material.
• No Automated Scraping: You may not use automated bots, scrapers, or scripts to extract watermarked preview videos or reverse-engineer our storage endpoints.

5. Pricing, Currency & 14-Day Refund Policy

All prices on NoventraStock are billed strictly in US Dollars (USD). Payments are processed securely via verified third-party payment gateways (PayPal).

• Instant Digital Delivery: Licenses and download access are granted immediately upon successful payment confirmation.
• Technical Defect Refund Guarantee: Because footage files are digital assets with immediate download capability, purchases are generally final. However, if a downloaded file is corrupted, technically unusable, or missing its specified resolution/codec, and our team cannot provide a corrected replacement within 3 business days, we issue a 100% full refund within 14 days of purchase.

6. DMCA & Copyright Compliance (17 U.S.C. § 512)

NoventraStock respects intellectual property rights and complies with the Digital Millennium Copyright Act (“DMCA”). If you are a copyright owner or authorized agent and believe that content on our Platform infringes your copyright, you may submit a formal takedown notice to our designated Copyright Agent:

7. Limitation of Liability

NoventraStock warrants that it holds the necessary rights and authority to grant the licenses set forth herein. Except for express warranties provided in these Terms, the Platform and assets are provided on an “as is” basis. NoventraStock's total aggregate liability arising out of any licensed asset shall be limited to the commercial value of the license fee paid, except in instances where our Creator-First Monetization Guarantee applies.

8. Governing Law & Dispute Resolution

These Terms shall be interpreted and governed by applicable commercial contract principles. Any dispute arising out of or related to these Terms shall first be resolved through good-faith informal negotiations between the parties. If an amicable resolution is not reached within thirty (30) days, the matter shall be submitted to confidential binding arbitration.
